DFL has developed and is developing proprietary charitable gaming concepts, electronic pull-tab presentations, reveal prototypes, designs, animations, interactive prototypes, and related intellectual property (collectively, the "Work Product"). DFL may grant the Recipient access to the Portal for the sole purpose of evaluating, reviewing, and discussing potential business opportunities related to the Work Product (the "Purpose").
The Recipient acknowledges and agrees that:
(a) All content displayed on the Portal is conceptual and in active development. Nothing shown constitutes a finished product, commercial offering, or commitment to deliver any particular product or feature.
(b) Game concepts, visual assets, mechanics, and all other Work Product are subject to change, modification, or discontinuation at DFL's sole discretion without notice.
(c) No representation or warranty is made regarding the accuracy, completeness, performance, regulatory compliance, or commercial viability of any Work Product displayed on the Portal.
DFL may terminate this Agreement and revoke Portal access at any time, for any reason, without notice. Upon termination, the Recipient shall immediately cease using all Confidential Information and, upon request, certify the destruction or return of all copies of Confidential Information in the Recipient's possession.
